This End User License Agreement (“Agreement”) is entered into between Bridge SMS Retail
Solutions (“bridgePOS”) and the customer (“Customer”).
By installing, accessing, or using bridgePOS software, you agree to be bound by this Agreement.

1. License Grant
   bridgePOS grants Customer a limited, non-exclusive, non-transferable, revocable license to use
   the software solely for Customer’s internal business operations.
   The software is licensed, not sold.
2. Ownership
   bridgePOS retains all ownership rights, copyrights, trademarks, trade secrets, and intellectual
   property rights in the software.
   No ownership rights are transferred to the Customer.
3. Permitted Use
   Customer may:
   ● Install software on licensed devices.
   ● Use purchased software modules.
   ● Receive software updates covered under an active maintenance agreement.
   ● Make reasonable backup copies for disaster recovery.
4. Restrictions
   Customer shall not:
   ● Reverse engineer or decompile the software.
   ● Modify the software.
   ● Remove copyright notices.
   ● Resell or sublicense the software.
   ● Share license keys.
   ● Circumvent licensing controls.
   ● Use the software for unlawful purposes.
5. License Activation
   Certain software modules require activation through bridgePOS licensing systems.
   bridgePOS reserves the right to deactivate licenses obtained through fraud or unauthorized
   means.
6. Maintenance and Support
   Maintenance agreements may include:
   ● Technical support
   ● Software updates
   ● Bug fixes
   ● Feature enhancements
   Maintenance is governed by the applicable support agreement and is not included unless
   purchased.
7. Third-Party Components
   bridgePOS software may integrate with hardware, operating systems, payment processors, or
   third-party software.
   bridgePOS does not guarantee continued compatibility with third-party products beyond
   documented system requirements.
8. Warranty Disclaimer
   The software is provided “AS IS” and “AS AVAILABLE.”
   bridgePOS disclaims all warranties, express or implied, including merchantability, fitness for a
   particular purpose, and non-infringement.
9. Limitation of Liability
   To the fullest extent permitted by law, bridgePOS shall not be liable for indirect, incidental,
   special, punitive, or consequential damages, including:
   ● Lost profits
   ● Lost sales
   ● Business interruption
   ● Data loss
   ● Loss of goodwill
   bridgePOS’s total liability shall not exceed the amount paid by Customer for the applicable
   software license during the twelve (12) months preceding the claim.
10. Termination
    bridgePOS may terminate this Agreement if Customer violates its terms.
    Upon termination, Customer must immediately cease using the software and destroy all copies.
11. Governing Law
    This Agreement shall be governed by the laws of the State of California, without regard to
    conflict-of-law principles.
12. Entire Agreement
    This Agreement constitutes the entire agreement regarding the software license.
